Hi guys,
I would really appreciate your help.

I need a simple utility to geo reference my aerial photo just by placing it
on top of my Geotiff DEM and rotating/resizing the image to match the
underlying terrain data.

At the moment I can get a good DEM from nasa, but I can't geo-reference my
photos to match as I don't have the proper program.

I don't know how simple the utility you need. But Quantum GIS will be
suffice for your immediate task.
